REVERSOZ TERMS AND CONDITIONS

1. Definitions

Reversoz: A handcrafted collection of unique Digital Collectibles, with each piece and its traits created by hand.

Reversoz Collection: The full set of Digital Collectibles issued under the "Reversoz" name.

Artwork / Original Artwork: Each unique Digital Collectible and its traits (backgrounds, accessories, headgear, etc.).

Holder: The current valid owner of a specific Reversoz Digital Collectible.

Licensee: Any party, including Holders and sublicensees, granted rights under this policy.

Licensor: Reversoz or its authorized representative holding the exclusive IP rights.


2. Holder Rights and Permitted Use

Holders have exclusive, royalty-free rights to use, reproduce, display, modify, commercialize, sublicense, and create derivatives from their specific Artwork for as long as they own it. These rights exclude the use of the Reversoz name, logo, trademarks, and any other collectibles not owned by the Holder.


Permitted Uses:

Use in merchandise (e.g., prints, digital goods, or products that comply with the restrictions in Section 4).

Display in virtual spaces or marketing.

Include text/logos next to or over Artwork only if the image remains at least 80% visible, unedited, and compliant with commercial guidelines.

Personal Use: Non-commercial purposes like social media, personal prints, or home décor etc.

Commercial Use: Monetized use such as merchandise sales or ads.

Sublicensing: Allowed, but original Holder is responsible for compliance.

Agreement on Acquisition: Owning a Reversoz Digital Collectible binds the owner to this policy and future updates.


3. Use Restrictions

Modification:

Personal use may include edits like filters or cropping, if the image remains respectful.

Commercial use must keep the Artwork intact (no edits, distortions, or recoloring).

Trait Use: No extraction or standalone use of individual traits.

Branding: Use of the Reversoz name, logo, or branding is not allowed unless licensed.

Prohibited Uses:

No hateful, racist, explicit, political, defamatory, or illegal content.

No use that damages Reversoz’s reputation.

Violations can result in immediate license revocation.

Borderline Cases: Uses like sexual wellness or adult themes require written approval.

Overlays: Text is allowed if it doesn’t obscure or alter the image and maintains 80% visibility.

Reserved Commercial Categories: Comics, trading cards, fashion, TV shows, movies, and animations are reserved for Reversoz. Personal/fan use is allowed if non-commercial.

Clothing Rule: Clothing is permitted only as a secondary product supporting a broader brand (e.g., podcast, beverage). It cannot be the core business.


4. Reversoz Rights & Ownership

IP Ownership: Reversoz remains the owner of all Artwork and traits.

Transfer Rules: Listing a collectible ends the seller’s commercial license immediately. All rights transfer to the buyer upon sale.

Enforcement: Reversoz may issue takedowns or revoke licenses if its IP is misused.

Marketplace Approval: Reversoz reserves the right to approve or blacklist marketplaces to protect brand integrity and ensure long-term value for Holders.

Indemnification: Holders are responsible for legal claims from misuse.

License-Back: Reversoz may use Holder-created derivative works for non-commercial promotion.

Secondary Sale Fee: Reversoz may charge a fee on secondary sales.

Revenue: Reversoz takes no share of Holder profits from permitted uses.

Audits: Reversoz may request proof of commercial uses to ensure compliance.


5. Limitations, Liability, and Legal Terms

No Guarantees: Reversoz offers the Artwork “as-is” with no warranties.

Liability Waiver: Reversoz is not liable for products or losses resulting from your use.

Lost/Stolen Digital Collectible: Reversoz cannot recover lost Digital Collectibles, nor are they liable for any damages resulting from its loss.

Trait/Metadata Updates: Reversoz may improve or modify traits/metadata with 30-day notice.

No Investment Advice: Digital Collectibles are not securities; value is not guaranteed.

Jurisdiction: All disputes are governed by applicable law and handled in a court of competent jurisdiction.
